1. General

This website (the “Site”) is owned and operated by Maven Labs Inc., a Canadian corporation (“Maven Labs”, “we”, “us”, or “our”). By accessing and using this Site, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, please do not use the Site.

You must be at least the age of majority in your jurisdiction to use this Site. We may update these Terms from time to time. Continued use of the Site following any changes constitutes acceptance of the revised Terms.

2. Our Services

Maven Labs provides the following services:

• Marketing strategy and campaign setup
• Lead generation systems
• Automation and integrations
• Analytics, tracking, and reporting
• Related consulting and advisory

No guarantees of results are made unless expressly stated in a signed written agreement.

3. No Professional Advice / Results Disclaimer

Information on the Site is for general informational purposes only. We do not guarantee business outcomes, revenue, conversion rates, lead volume, or sales results unless expressly stated in a signed written agreement.

4. Intellectual Property Rights

All Site content is owned by Maven Labs or its licensors and is provided for limited internal business purposes. Upon full payment, a license is granted for deliverables created specifically for you; Maven Labs retains ownership of pre-existing tools, templates, and frameworks. Third-party components remain subject to their own licenses.

Maven Labs may showcase non-confidential work in its portfolio. By providing materials, you grant Maven Labs a limited, non-exclusive license to use them for service delivery.

5. User Conduct & Restrictions

You agree not to use the Site for any unlawful purpose, interfere with its operation, attempt unauthorized access, distribute malware, scrape content, misrepresent your identity, or infringe any intellectual property rights. We may suspend or terminate access for violations.

6. Links, Third-Party Services, and Platforms

Maven Labs does not control or endorse third-party sites linked from the Site. Third-party platform outages, policy changes, or account issues are not our responsibility.

7. Online Commerce, Billing, and Payments

You must provide accurate billing information. Fees are generally non-refundable. Late payments may result in paused work. You are responsible for third-party costs unless expressly included in a written agreement.

8. Appointment / Performance Guarantees

If performance guarantees are offered, specific terms will be set out in a signed agreement. If no written guarantee exists, none applies.

9. Confidentiality

Each party protects the other’s confidential information using reasonable safeguards. Standard exclusions apply for publicly available information, independently developed information, and information received from third parties.

10. Privacy

Your use of the Site is also governed by our Privacy Policy. If you provide third-party personal information, you represent that you have the authority and legal basis to do so.

11. Disclaimers

The Site and services are provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law.

12. Limitation of Liability

Maven Labs is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Total aggregate liability is limited to fees paid in the 3 months preceding the event, or CAD $100 if no fees were paid.

13. Indemnification

You agree to defend, indemnify, and hold harmless Maven Labs for breach of these Terms, misuse of the Site or services, infringement by Client Materials, or violation of applicable laws.

14. Termination

We may suspend or terminate your access at any time without notice for violations. Provisions that by their nature should survive termination will do so.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Ontario, Canada. The courts of Ontario have exclusive jurisdiction over any disputes.

16. Severability

If any provision is found unlawful, it will be severed; the remainder of these Terms continues in full effect.

17. Entire Agreement

These Terms, our Privacy Policy, and any signed agreement or statement of work constitute the entire agreement. In the event of a conflict, a signed agreement controls.
